Performance

We pledge to work full-time and hard to guarantee the successful completion of the services we provide in support of your fintech and entrepreneurial goals for the length of our engagement when BHUMCHUM's competence is needed. BHUMCHUM recognizes your right to assess our performance and to keep a record of your assessments. Contractual Ethics for BHUMCHUM

BHUMCHUM is dedicated to maintaining the greatest moral standards in all of our business dealings. As stated in our agreement, we are committed to upholding honesty while following rules and regulations. We promise to abide by the rules about authority in consulting firms.

In keeping with our dedication to openness, BHUMCHUM declares that it will not offer or accept any fees, gratuities, rebates, gifts, commissions, or any other type of payment other than those specified in this Contract in connection with the choice of our services.

You must trust BHUMCHUM to be your top service partner, providing you with support in every manner in the fintech industry. Together, we will keep navigating the fintech environment to make sure you succeed in this booming industry.

Remuneration -

a. Payment Terms:

By the terms and conditions outlined in our agreement, BHUMCHUM will be compensated. The payment will be made to BHUMCHUM directly or, if we are working through a firm, to that firm. The time frame for which BHUMCHUM's full-time (as specified in the contract) commitment is needed to deliver consulting inputs will be covered by payments.

b. Lump Sum Payment:

If the terms of our agreement call for a lump sum payment for the services, then a predetermined payment schedule will apply to BHUMCHUM's compensation as well as any other agreed-upon charges, except any specifically listed reimbursable expenses.

c. Payment for Services Under 30 Days:

In situations when the consulting input period is shorter than 30 calendar days (or 22 working days) and Specific Conditions does not provide a lump sum payment:
- For the time that BHUMCHUM spends providing services in the field, including travel to and from the assignment area, official holidays, and weekends (except the final weekend of the assignment), payments will be provided based on calendar days.
- For the days when BHUMCHUM works full-time from their home office, payments will be issued according to working days (place of residence). For this contract, a calendar month may have a maximum of 22 paid working days.

d. Payment for Services 30 Days or More:

Should the consulting input period be beyond 30 calendar days:
- BHUMCHUM's compensation will be expressed in person-months, taking into account travel time to and from the assignment site, official holidays, and weekends (except from the final weekend of the assignment).
- The monthly rate will be divided by 30 for calendar days and by 22 for working days to get the daily compensation rates.

e. Future Assignments:

The compensation that BHUMCHUM receives for upcoming tasks is subject to change. It may deviate from the rate that was agreed upon in Specific Conditions.

Out-of-Pocket Expenses (OPE) and Reimbursable Expenses for BHUMCHUM -

a. Reimbursement for Actual Expenses:

Except as otherwise provided, the EA will reimburse BHUMCHUM for actual out-of-pocket expenses (OPE) supported by receipts or other supporting documentation when our agreement, as stated in Specific Conditions does not include a lump sum for remuneration and OPE. The OPE information, which may include the following:

• - Per Diem Allowance: This daily stipend pays for lodging and food costs incurred while BHUMCHUM spends the night somewhere other than our home to provide services during the engagement term.
• - Travel Cost: This category covers any applicable public transportation expenses BHUMCHUM spent while travelling to provide the services, including fees for travel between our residence and the closest international airport. The most direct route will be taken in economy class, with connecting flights. BHUMCHUM will pay for any additional costs associated with non-work-related stopovers that last longer than permitted or with flights that take a non-direct route.

b. Onetime payment with no reimbursement needed:

If the specific conditions designates a lump sum for compensation and OPE exclusive of reimbursable expenditures, BHUMCHUM shall be paid by payment schedule and General Conditions Clause.

c. One-time payment with reimbursed costs:

The general Conditions Clause requires the EA to adhere to the payment schedule whereas the specific conditions Clause prescribes a lump sum for both compensation and OPE, including reimbursable expenses. Furthermore, BHUMCHUM will get payment from the EA for the true costs of the reimbursable expenses.

Payment Procedures for BHUMCHUM -

a. Timely Payment:

When applicable, BHUMCHUM agrees to pay on the terms outlined in Specific General Conditions Clause in the agreement. Payments shall normally be processed by the EA from the date of receipt of the invoice from BHUMCHUM or, if BHUMCHUM is contracted through a firm, the firm, within a reasonable time frames not to exceed thirty days.

b. Monthly Invoicing:

Unless special arrangements are made as stated in the clause, BHUMCHUM will send a monthly invoice to the EA along with a description of the amount of time spent on services during that month. Along with the invoice, the necessary supporting documentation for any costs that can be reimbursed will be included.

c. Certification of Service Satisfaction:

Once the EA determines that BHUMCHUM's services satisfy the required standards, payment will be initiated.

d. Bank Account Details

The bank account mentioned in the Specific Conditions Clause will be credited with the payment.

e. Bank Account Changes:

BHUMCHUM is aware that it is not recommended to make frequent changes to the consultant's or firm's bank account. If such a modification is considered required, an official request for it must be supported by reasons. If the request is from a firm, it should be signed by an authorized representative or the same person who signed this Contract on the firm's behalf. The contracting party's bank account is the only one that the EA will accept as payment.

f. Final Invoice Submission:

The final invoice must be submitted by BHUMCHUM, or the firm if hired through a firm, within 60 calendar days of the contract terminating or the term of engagement ends. The EA will make the final payment based on the Contract's account record, certified by the EA after resolving any outstanding concerns if the final invoice is not submitted within this time frame. This could involve problems like unpaid advance payments, changes to the contract, or, if relevant, the delivery of equipment. After that, the EA will close the Contract account, and following that, any claims you may have about payments you received from BHUMCHUM or the firm will be deemed irrevocably relinquished.

g. Maximum Payment Amount:

Unless the EA makes a Contract variation order to change the maximum amount, payment under this Contract may not exceed the maximum amount mentioned in the contract.

h. Communication for Payments:

For inquiries about payment status, follow-ups, and requests for advances, please contact [name of EA Billing Unit].

Advances for BHUMCHUM -

Starting with the first invoicing, the advance amount will be recouped in installments, the specifics of which are outlined in the Specific Conditions Clause. The EA must accept any further advance requests, in which case the recovery terms will be modified.

Insurance for BHUMCHUM -

• a. Insurance Details: Regarding insurance-related issues, please refer to the details provided in the Specific Conditions.
• b. Insurance Responsibility: The EA disclaims all liability for any life, accident, travel, or other insurance coverage for BHUMCHUM's employees, subcontractors, or their dependents that may travel to the duty station or another location in connection with our services, whether the EA engages BHUMCHUM directly or through a firm.
• c. Equipment Insurance: Obtain and keep up-to-date sufficient insurance coverage for probable loss or damage to equipment, whether entirely or partially funded by the EA. The money received from the insurance should be paid out in a form of money that can be freely utilized to buy new or repair similar machinery.
• d. Professional Indemnity and Third-Party Liability: Insurance Obtain and keep up-to-date insurance covering both professional indemnity and potential third-party claims resulting from actions taken while performing our services.
• e. Other Necessary Insurance: Obtain any additional insurance coverage that is thought to be necessary for BHUMCHUM's well-being.

Language for BHUMCHUM -

BHUMCHUM stipulates that, unless otherwise specified in the Terms of Reference (TOR), all reports and correspondence relevant to the performance of our contract will be handled in the English language in the context of our services within the vibrant financial startup scene of India.

Reports for BHUMCHUM –

In keeping with our dedication to providing all-encompassing services in India's ever-changing fintech startup scene, BHUMCHUM acknowledges the following:

• a. By our Terms of Reference, BHUMCHUM is obliged to submit reports, written papers, and electronic materials (TOR).
• b. The front portion of the final report, which will be provided on a CD, will contain a 500-word knowledge summary.
• c. All data, reports, and documents generated while we are providing our services are BHUMCHUM's sole and exclusive property.
• d. At the end of our agreement, BHUMCHUM acknowledges that the EA has the right to decide what will happen to this property and that the EA may decide to make it public.
• e. With the understanding that they won't be used for reasons unrelated to the services without the EA's prior consent, BHUMCHUM may keep copies of these records.
• f. BHUMCHUM shall continue to work with the EA to clarify or explain any information included in the reports we submit after the Term of Engagement ends.
• g. It is acknowledged that to finish the reports, BHUMCHUM will utilize our own laptop or computer.

Intellectual Property for BHUMCHUM –

BHUMCHUM endorses the following as we commit to helping business owners and service providers in India's vibrant fintech startup scene:

a. BHUMCHUM will make sure that no industrial property or intellectual property rights are violated, and that no third parties are brought against any services, goods, or products—such as computer hardware, software, and systems—that are purchased using EA money or used in the course of providing services.

b. In order to protect the EA from any claims, liabilities, obligations, losses, damages, penalties, legal actions, proceedings, demands, costs, expenses, and disbursements that may be placed on, incurred by, or asserted against the EA as a result of actions related to service provision, BHUMCHUM, or the firm if engaged through a firm, shall indemnify the EA. Any claimed violation of a copyright, trademark, patent, or other protected right falls under this category.

Public Statement and Commitment for BHUMCHUM -

BHUMCHUM acknowledges the following in our dedication to helping business owners and service providers in India's thriving financial startup scene:

• a. Without BHUMCHUM's previous written consent, BHUMCHUM and, if applicable, the firm engaged through BHUMCHUM will exercise discretion and abstain from making public statements about our services or any BHUMCHUM initiatives.
• b. As required by the situation, we will clarify that BHUMCHUM and, if applicable, the firm contracted through BHUMCHUM does not have the authority to commit BHUMCHUM in any capacity.
• c. BHUMCHUM shall abstain from taking part in any political activity inside the nation where the project is located or about our duties for the duration for the Term of Engagement.

Information Confidentiality for BHUMCHUM -

Until the EA directs otherwise, such equipment will remain its property and must be turned over to them upon the contract's termination.

Relationship and Subcontracting for BHUMCHUM -

• a. If BHUMCHUM is hired through a firm, this contract denotes an independent contractor relationship between BHUMCHUM and the Firm. There cannot be any other relationship suggested or established.
• b. Except for authorized subcontracting, BHUMCHUM and, if applicable, the company hired via BHUMCHUM will not assign or subcontract the Contract or any portion of it without the EA's prior written consent.
• 1. The EA's engagement with BHUMCHUM is dependent on us verifying our physical and mental well-being and not having any conditions that would make it difficult for us to provide services. BHUMCHUM will give the EA any further medical proof that is required if needed. The EA retains the right to terminate this Contract if, in its opinion, the Consultant is incapable of performing or completing the services sufficiently due to health issues or other legitimate concerns.
• c. Regardless of unanticipated events, BHUMCHUM, your reliable source for loans, is dedicated to upholding professional independence and making sure that our services are provided efficiently. Together, we will successfully traverse the fintech industry to ensure your success in this rapidly expanding field.

Incident Reporting and Visa Compliance for BHUMCHUM -

BHUMCHUM pledges to be your devoted partner in the exciting finance startup scene in India.

• - When an accident occurs during the Term of Engagement that results in property damage or personal harm, BHUMCHUM will notify the EA as soon as possible. In addition, we will notify the EA right away of any situation that might impair or interfere with our ability to provide our services.
• - The responsibility of obtaining the required visas and approvals from governmental bodies, as required by relevant laws and regulations in the Assignment Location, shall rest with BHUMCHUM. This will allow us to efficiently perform the services. If necessary, BHUMCHUM will also secure the necessary authorizations and visas for any of our consultant's dependents who might be present in person at the Assignment Location throughout the Engagement Term.

Suspension and Termination of Contract for BHUMCHUM –

In the ever-changing finance startup scene in India, BHUMCHUM recognizes the following as your committed partner:

a. Suspension and Termination by the EA:

- If circumstances develop that interfere or threaten to interfere with the effective execution of the assignment or the completion of services, the EA may, for a length of time determined by the EA, suspend the performance of all or a portion of the Contract as well as the payment of monies. This suspension will end after no more than thirty working days.

• i. The EA may terminate this Contract by giving written notice of termination at least fifteen calendar days in advance.
• ii. As per the guidelines on the use of consultants by the Asian Development Bank and its Borrowers and their Anticorruption Policy, unethical behavior, corrupt, fraudulent, coercive, or collusive actions must be reported immediately.
• iii. Right away if the services have been rendered thus far and are of a poor enough caliber to suggest that the services cannot be completed to a satisfactory standard.

b. Termination by the Consultant or the Firm:

• - If events those events beyond their reasonable control make it impossible for the services to be provided, the Consultant or the Firm may terminate the Contract. For these reasons, the Consultant is required to submit written confirmation.
• - The Consultant will be released from providing services and the Contract will be terminated, upon written confirmation from the EA or if the EA does not reply to the rationale submission within 15 days of receipt.

c. Termination Procedure:

• a. Upon termination, the Consultant or the Firm, as appropriate, will minimize expenses and close off the services in a timely and effective manner.
• b. The Consultant or the Firm is entitled to full payment for expenses incurred appropriately and properly before the termination date, unless the Consultant's default results in termination. Reimbursable expenses are those incurred by the Consultant for the orderly termination of services, including return travel expenses.
• c. If termination stems from default by the Consultant, the Firm, or the EA, as applicable, will receive the difference between:
• - The direct and indirect expenses that the Consultant or the Firm incurred during providing the services up until the termination date.
• - The total amounts under the Contract that the EA has paid to the Consultant or the Firm.

Entire Agreement and Contract Amendment for BHUMCHUM -

BHUMCHUM endorses the following in our dedication to helping aspirant business owners and service providers in India's vibrant fintech startup scene:

- The Agreement replaces all prior agreements, expressed or inferred, and takes precedence over all prior arrangements, whether written or oral, as updated from time to time in compliance with the aforementioned requirements.

Notices and Requests for BHUMCHUM -

BHUMCHUM guarantees the following as part of our dedication to helping budding business owners and service providers in India's vibrant financial startup scene:

• - Any notice or request under this Contract, whether necessary or permitted, must be made in writing. When such notice or request is delivered in person, by letter, or by fax to the designated party, it is deemed fully given or made.
• - Unless otherwise instructed by the Consultant or the Firm in the case of Consultant engagement through a firm, the authorized parties for the EA, as specified in the Specific Conditions Clause, and the authorized party for the Consultant, the person verifying acceptance of the Offer Letter, as specified in Clause, shall facilitate effective communication.

Delays:

Any inability or delay on the part of BHUMCHUM to exercise any authority or right under this Contract will not be interpreted as a waiver of that authority or right.

Any later or continuing exercise of any other power or right under this Contract will not be impeded by BHUMCHUM's single or partial use of such power or right.

Inspection and Audit:

BHUMCHUM agrees to provide the EA, ADB, or their designated representatives to view and audit any accounts, documents, and records about this Contract, as does the Firm contracted via BHUMCHUM, if appropriate.

Settlement of Disputes for BHUMCHUM -

• a. BHUMCHUM and the Consultant, or the Firm hired via BHUMCHUM, agree that any disagreements about this Contract or how it should be interpreted should be settled amicably. This means that the duly-appointed representatives of the disputing parties must carefully review the issue or issues and weigh their choices for settlement. Each party will take the necessary steps to ensure that a mutually agreeable solution is reached.
• b. Should a disagreement or conflict emerge that cannot be settled amicably through the aforementioned process, it will be finally settled in line with the International Chamber of Commerce's Rules of Arbitration by one or more arbitrators chosen in compliance with those rules. All parties shall be bound by the arbitrator's decision, which will take the place of any further remedies. The arbitration will take place in English, and each party will be responsible for its own expenses.
